Issue in upgrading from Server Enterprise Edition from SP1 WS2 to SP2 WS1

After upgrade, Microfocus Server is NOT starting. It is stuck on following item in the console log:

2672 HOMESALE CASSI4005I Retrieving ES configuration from MFDS (127.0.0.1:86) 16:08:33

Any clue why? Please help if you can.
